PAGES 4-5-Ó-7 LATIN AMERICAN DIVISION VOL XX, No. 11 MIAMI, FLORIDA, JANUARY 1964 631230 Stock Split is Approved by Directors «ata- New Headquarters of Airline at Pan American Field Centrex Telephone System Serves Pan Am Facilities Pan American’s new facilities on 36th Street have been equipped with the Centrex telephone system. The system serves the administration building, the new offices in the hangar building and cargo at COB. Centrex is a direct inward dialing®\. ^ , ,, ~ , ctorv, an ^oii fv-nrv, tie-line dialing to the New York system. An incoming call from out side can be made to any PAF telephone without operator intervention. The terminal, at International Airport, and other COB areas, are not served by Centrex. In effect, Centrex provides a private exchange, NE-7, or, as it should be known, 637. This is the general information number and will be handled by telephone operators in cases where individual numbers are not known. In brief, a call to an individual from the outside will be made by dialing 637, then the individual number desired. Moreover, incoming calls from outside may be transferred to another telephone in the Centrex area by pressing the telephone hook once, receiving a dial tone and dialing the four-digit number of the wanted telephone. Direct offices will continue. Operators will handle other long distance calls as in the past. Employes in the Centrex area have been provided with postcards for mailing to persons or concerns with whom they have most contacts. These allow employes to list their names and individual Centrex numbers. NEW ENGINES FOR JETS Pan American has awarded a contract valued at more than $20 million to the Boeing Company under which eight Boeing 707-120 series aircraft will be refitted with turbofan engines. The Jet Clippers will enter the Boeing plant at Seattle when they are due for regular overhauls starting in October, 1964. Work will be completed by June, 1965. The Season’s Greetings From The Vice President A New Year dawns, and thanks largely to your cooperation and efforts during the past 12 months, prospects for the Latin American Division appear bright. In a few weeks we will move into our new Consolidated Maintenance Facility in Miami, one of the most modern and efficient jet overhaul bases anywhere in the world. Its completely functional design will help us effect economies in the costs that have kept constantly rising over the past several years. The new Executive Building, immediately adjacent to the Maintenance Facility, puts us all under one roof and will enable us to bring problems under study more quickly and arrive at solutions without lost time and motion. Surely 1964 will see the continuation of current problems and bring vexing new ones. But with the new working conditions and the same spirit of pride and achievement that you have all shown in the past, there is no reason for anything but confidence. January 1 brings a brand new year; but every sunrise thereafter brings new challenges, new opportunities. To all members of the LAD family everywhere, sincere best wishes in 1964 for your happiness and true prosperity. MORRISON Vice President CoEmps Give $80,160 to United Fund With complete returns reported for the 1963-64 United Fund in-plant campaign at Pan American, employes have subscribed a total of $80,610—an increase of $3,000 more than the goal set when the drive was launched. In addition, Pan American presented the UF a corporate gift of $7,500. Employes’ gifts this year exceeded donations made during the 1962-63 campaign by almost $6,000, the total then being $73,908. The Dade County United Fund helps support 40 health, welfare and character building agencies. Committee For Drive Wilbur L. Morrison, executive vice president in charge of the Latin American Division, is a member of the Board of Trustees and chairman of the Transportation Division of the UF. Heading the Pan Am campaign as general chairman was Division Manager William F. Raven. The coordinating committee within the Pan Am organization was Robert Bush, chairman; Don M. Barrett, assistant chairman; A. J. Lea Hume, division industrial relations manager; Richard P. Howell, John Mosure and Richard J. Wills. The Pan Am in-plant drive was conducted October 16, 17 and 18 and is the only fund solicitation at the airline’s facilities during the year. Ten Groups Worked Ten groups conducted the fast-moving drive. Group chairman and their alternates were: James H. Tullis, Airline Pilots Association; Jack Brauchand and Robert Mum-ma, Brotherhood of Railway Clerks; Carl V. Fisher and Robert Batting, Transport Workers Union; John Landrove and Horacio Rua, Flight Service; William Lane and James Stewart, District Sales Office; Duval Inge and Ted Taylor, International Brotherhood of Teamsters; Robert W. Payne, Flight Engineers International Association; A. W. (Army) Droz and William F. Gracy, Management; Arthur D. Whittington, Credit Union; Ray Munoz, Flight Dispatchers. The structure is similar to U.S. Embassy buildings in many parts of the world. It is elevated and set behind a large reflecting pool. Brown pierced grille facing and surrounding gardens give it a sub-tropical atmosphere. The two main floors have full height wall windows, looking onto a center patio that opens to the sky and features a reflecting pool and fountain. Housed in the new building are the division’s executive offices and such management and departmental functions as traffic and sales, public relations, advertising, sales promotion, passenger service, accounting, chief pilot and superintendent of stations. TRIPPE NAMED DIRECTOR Juan T. Trippe, president of Pan American World Airways, has been re-elected a director of the Air Transport Association of America. The ATA is the national trade and service organization of virtually all the United States scheduled airlines. Board Votes To Increase Dividends Quarterly Rate Set at 30 Cents To Shareholders A split of stock shares and an increased quarterly dividend for Pan American shareholders was voted by the Board of Directors, it was announced by President Juan T. Trippe. In addition, the directors authorized a substantial new offering of convertible subordinated debentures to shareholders of record on or about January 7, 1964. The stock split — proposed two for one — will be submitted to shareholders for approval. A quarterly dividend at a rate increased to 30 cents per share, payable February 19, 1964 to shareholders of record January 29, 1964, was authorized by the directors. This is an increase of ten cents per share more than paid in past quarters. To Widen Market The company believes the stock split and dividend increase will make the stock more attractive to investors, widen the market for the stock, and facilitate the raising of funds which may be required for expansion in the future. It is expected that the offering of debentures will entitle shareholders to purchase approximately $60,000,000 of debentures on the basis of $100 principal amount for each 11 to 13 shares held on the record date, the exact ratio to be determined in the light of the aggregate number of shares outstanding at that time. Rights to purchase the debentures are expected to be mailed on or about January 8, with the subscription period expiring on or about January 22. Split Set For June The subscription ratio and price, interest, conversion price and other terms of the subscription offer and the debentures will be determined by the board of directors shortly before the offering, and set forth in the prospectus to be mailed to each shareholder with his rights. The proposed 2 for 1 split of the stock will be submitted to shareholders for vote at the annual meeting to be held in May, 1964, President Trippe’s Message To Pan American Employes A gain, during this holiday season, may I wish you and your families all the best for the New Year. For Pan American, the year 1963 has been successful. Each of us, in all components of the Company, has contributed to make this an outstanding year in our Company history. Our efforts were effectively devoted to improving service on our worldwide air routes. Our Guided Missile Range Division, our Technical Assistance Program, our service over the corridors to West Berlin, our Intercontinental Hotels all served the people of the Free World. We acquitted ourselves well in 1963. I am confident that the same spirit of dedication to our public service responsibilities will make the new year even more successful. Again, to every member of the Pan American team, my best wishes for the holidays and the New Year. TRIPPE Cf President President
